Rafael del Pino defends the move, pointing out that it is not due to "tax reasons". Ferrovial's shareholders have approved in a historic meeting the decision adopted by the Board of Directors in February to move the company's headquarters to the Netherlands. In his speech, CEO Rafael del Pino defended the plan to move the headquarters because it "improves the group's competitiveness" and "strengthens its international operations". With a quorum of 77.6%, the meeting approved the operation whereby the Spanish parent company will merge with the Dutch company, a new company will be created in Holland and the multinational will no longer have its headquarters in Spain. -------------------------- Ferrovial, S.A. is a multinational that operates in the transport and mobility infrastructure sector through four divisions: Toll Roads, Airports, Construction2 and Energy and Mobility Infrastructures3. In February 2023, the group's management proposed a merger between the parent company, Ferrovial, S.A. (as the acquired entity), and Ferrovial International SE (as the acquiring company), a wholly owned subsidiary of Ferrovial based in the Netherlands that already owned 86% of the company's assets, which would ultimately entail the transfer of the group's registered office from Spain to the Netherlands4. 5 At the same time, it informed the Spanish Securities and Exchange Commission (CNMV) that it would apply, through the SIBE, for admission to trading of the shares of Ferrovial International SE on Euronext Amsterdam and on the Spanish stock exchanges and markets, in order to subsequently apply for admission to trading on one of the US stock exchanges67 . The Toll Roads business develops, finances and operates toll roads such as the 407 ETR, North Tarrant Express, LBJ Express, Euroscut Azores, I-66, I-77, NTE35W. The Airport business develops and operates Heathrow, Glasgow, Aberdeen and Southampton airports. The Construction business unit designs and builds public and private works such as roads, motorways, airports and buildings. The Energy Infrastructure and Mobility business unit manages renewable energy projects and urban mobility services.8 The Services division was sold to private equity firm Portobello Capital10 at the end of 2021. Ferrovial is present in more than 9 countries where its business units operate1112.
